Management Board of VIGO Photonics S.A. ("Company", "Issuer") informs that on the 4th of May 2023, between the Issuer and a German company an agreement on the supply of detectors. The value of the agreement will be in the range between 2 887 440 EUR (i.e. PLN 13 251 039,65 according to the average exchange rate announced by the National Bank of Poland on the day preceding the date of conclusion of the agreement) and 3 538 840 EUR (i.e. PLN 16 240 444,53 according to the average exchange rate announced by the National Bank of Poland on the day preceding the date of conclusion of the agreement).
The subject of the agreement is the sale of infrared detectors by the Company in the period between 1 January 2023 and 31 December 2023, with the possibility of postponing the delivery date to March 31, 2024 at the latest.
The value of the concluded contract exceeds 10% of the Company's equity and thus constitutes a criterion for recognizing it as a significant contract.
The agreement does not contain provisions on contractual penalties and does not stipulate any conditions or termination or suspensive dates.
In the contract, the parties included provisions on the possibility of withdrawing from the contract in case of systematic problems with the quality of the products.
Other arrangements do not differ from generally applicable market conditions.
