The issuer's management board, i.e. VIGO Photonics S.A. with its registered office in Ożarów Mazowiecki (hereinafter referred to as the "Issuer"), hereby informs that on November 17, 2023, it received from Powszechne Towarzystwo Emerytalne Allianz Polska S.A. with its registered office in Warsaw, acting on behalf of Allianz Polska Otwarty Fundusz Emerytalny, which is a shareholder of the Issuer, nomination of
Mr. Waldemar Maj as a Member of the Issuer's Supervisory Board.
The notification was received in connection with the Extraordinary General Meeting of the Issuer convened on November 20, 2023 and point 9 of the agenda on the election of Members of the Supervisory Board. The candidate's CV and declaration are attached to the application.
According to the statement, Mr. Waldemar Maj meets the independence criteria of a Member of the Supervisory Board specified by the European Commission in Annex No. II to the Commission Recommendation of February 15, 2005 regarding the role of non-executive directors or members of the
supervisory board of listed companies and committees of the (supervisory) board (Journal of Laws U.EU.L.05.52.51), art. 129 of the Act of May 11, 2017 on statutory auditors, audit firms and public supervision (consolidated volume: Journal of Laws of 2022, item 1302, as amended) and additional requirements indicated in the Good Practices of Listed Companies on the WSE, constituting an annex to Resolution No. 13/1834/2021 of the Stock Exchange Council of March 29, 2021.
