The Management Board of VIGO Photonics S.A. (the "Issuer") hereby informs that on July 3, 2026, a framework agreement was concluded between the Issuer and a Polish manufacturer of optoelectronic products for the defense industry with its registered office in Warsaw (the "Client") concerning the supply of InGaAs detectors for vehicle self-protection systems ("Detectors") for military applications. The Detectors manufactured by the Issuer are intended for use in armored personnel carriers operated by the Polish Armed Forces. The purpose of the Agreement is to define the terms and conditions of long-term cooperation between the Parties aimed at ensuring the participation of the Issuer's products in the Client's supply chain.
The Agreement has been concluded for a fixed term until December 31, 2031. Pursuant to the Agreement, the Issuer is to deliver an appropriate number of test copies of the Detectors, whereby the procedure for testing the test copies should be completed by August 15, 2026. Successful completion of the tests will allow for transition to the production and sale phase of the Detectors, which is anticipated immediately after the successful completion of the testing phase. As of the commencement date of the production and sale phase, the Issuer is obliged to manufacture and sell the Detectors, and the Client is obliged to purchase and accept the Detectors on the terms and conditions specified in the Agreement. The Issuer has undertaken to ensure appropriate production capacities for the Detectors starting from 2026. The Issuer will provide information on the progress in the performance of the Agreement in relevant reports.
Pursuant to the Agreement, the Client is obliged to order a specified number of Detectors during the term of the Agreement, subject to the Client being granted relevant orders by the Ministry of National Defense (MON) each time.
The value of the Agreement is estimated at PLN 10.6 million. The total aggregate liability of the Issuer under the performance of the Agreement on any account whatsoever (contractual compliance) is limited to PLN 1 million. The remaining provisions do not deviate from generally applicable market conditions.
The Agreement has been deemed material by the Issuer due to its value and the fact of establishing cooperation with a significant entity manufacturing equipment for the needs of the Polish Armed Forces, which will be of material importance from the perspective of the financial position, implementation of the strategy, and growth prospects of the Issuer.
