The Management Board of VIGO Photonics S.A. with its registered office in Ożarów Mazowiecki (hereinafter referred to as the "Issuer"), hereby informs that on March 15, 2024, it received a decision issued on March 6, 2024 by the District Court for the Capital City of Warsaw in Warsaw, 11th Commercial Division - Register of Pledges (hereinafter referred to as the "Decision") regarding the entry in the pledge register of a pledge on machines and devices used to implement the technology for the production of detection chips developed as part of the "Exposures" project (hereinafter referred to as the "Subject of the pledge"). The book value of the Subject of the pledge as at September 30, 2023 amounted to PLN 21,718,430.46. The registered pledge secures receivables up to the maximum security amount of EUR 8,250,000.00.
The registered pledge was established to secure the receivables of ING Bank Śląski S.A. with its registered office in Katowice under the Agreement concluded with the Issuer for a foreign currency loan in a bank account with the number 881/2022/00002231/00 dated March 21, 2022 up to the amount of EUR 5,500,000, extended by Annex No. 4 dated December 15, 2023 and Annex No. 5 dated January 22, 2024, and the Registered Pledge Agreement with the number 881/2024/00002576/05 dated January 22, 2024.
In addition, the Issuer informs that there are no personal or property links between the Issuer and the bank in whose favor the pledge is established.
The Issuer explains that due to an error, the current report containing the information disclosed in this current report was not published immediately after the Issuer received the Resolution. After the Issuer identified this circumstance, the Issuer published this current report immediately. At the same time, the Issuer will make every effort to ensure that similar errors do not occur in the future.
