Krzysztof Kaczmarczyk

Chairman of the Supervisory Board

A graduate of the Warsaw School of Economics with a specialization in Finance and Accounting, he also attended the University of Warsaw, majoring in International Relations. From 1999 to 2008, he worked at Deutsche Bank in Poland, where he held positions including Deputy Director of the Equity Market Analysis Department and Equity Market Analyst – Central and Eastern Europe. From 2008 to 2010, he held management positions at the TP S.A. Group, including Director of the Strategy and Development Division. From 2010 to 2011, he worked at the Swiss investment bank Credit Suisse. From 2012 to 2015, he served as Vice President of the Management Board for Strategy and Development at Emitel, a terrestrial radio and television network operator in Poland. From 2016 to 2018, he served as Advisor to the Management Board of KGHM Polska Miedź S.A. Currently, since 2015, he has served as an independent member of the Supervisory Boards of companies listed on the Warsaw Stock Exchange. He has gained nearly 15 years of supervisory experience serving on over 30 supervisory boards of companies listed on the Warsaw Stock Exchange and private companies, including: Action, Alta, Arteria, Braster, BEST, BSC Drukarnia, Celon Pharma, Duon, Emitel, TP Edukacja i Wypoczynek, the Warsaw Stock Exchange, Graal, Integer, InPost, KGHM Polska Miedź, KGHM International, KGHM TFI, LC Corp, Mabion, Magellan, Polimex-Mostostal, Polish Energy Partners, Robyg, SARE, TIM, VIGO Photonics, Wirtualna Polska, Work Service, and 4fun Media. Krzysztof Kaczmarczyk meets the independence criteria referred to in principle II.Z.4 of the document "Best Practices of WSE Listed Companies 2016".

 

Marcin Andrzej Kubrak

Member of the Supervisory Board

He graduated from the Faculty of Power and Aeronautics at the Warsaw University of Technology. He began his career in 1991 as a tour guide at INT EXPRESS, and from 1992 worked as the Head of the Inbound Tourism Department, where he organized tourist groups to Poland from Western Europe. In 1994, he founded Fair Cargo, one of the first companies in Poland to launch air freight forwarding and air cargo services. Until 2005, he was the owner and managing director of this company. He serves as a member of the management board and managing director of Expeditors Polska. Since 1999, he has been a shareholder and president of the management board of Airnet, which owns and operates the forwarding terminal at Okęcie Airport in Warsaw. Since 2004, he has been a shareholder and member of the management board of Airnet Service, a company specializing in air freight handling. He has been a member of the management board since Enter Air's inception.

Krzysztof Dziewicki 

Member of the Supervisory Board

A graduate of the Faculty of Technical Physics and Applied Mathematics at the Warsaw University of Technology, with a major in applied mathematics, Krzysztof Dziewicki has been with Warsaw Equity Group since 1999 and has served as President of the Management Board of Warsaw Equity Management S.A. since 2015. He also serves as President of the Management Board of Warsaw Equity ASI Sp. z o.o. and Warsaw Equity Advisors Sp. z o.o., and Vice President of the Management Board of Polskie Konsorcjum Gospodarcze Sp. z o.o. He also serves on the supervisory boards of Tektura Opakowania Papier S.A. and SHI FW Energia Fakop Sp. z o.o. In the past, he actively participated in the operational activities of WEG portfolio companies. In 2015, he assumed the position of President of the Management Board of the debt collection company WEH Inwestycje S.A., leading to its sale to an investor the same year. From 2011 to 2013, he served as Management Board Representative for Supervision of Subsidiaries at WB Electronics S.A., a defense production company. From 2007 to 2013, he served as a member of the Supervisory Board of the investment fund company Warsaw Equity TFI S.A. From 1999 to 2001 and from 2007 to 2011, he served as Vice President of the Management Board for Finance at the confectionery manufacturer Zakłady Przemysłu Cukierniczego "Otmuchów" S.A., and was also involved in the process of listing that company on the Warsaw Stock Exchange. From 2002 to 2007, until its sale to a strategic investor, he also served as a member of the supervisory board of the company operating the Gadu-Gadu S.A. internet messaging service. Prior to joining Warsaw Equity Group, he gained experience at consulting firms TDI, Towarzystwo Doradztwa Inwestycyjnego Sp. z o.o. and Egmont Consulting Sp. z o.o.

 

Marek Wiechno

Member of the Supervisory Board

Marek Wiechno studied at the Warsaw School of Economics from 1998 to 2003, and then completed numerous courses and training in Management, HR, Corporate Finance, Accounting, including IFRS/IAS, and Taxes. He began his professional career in 1999 by running his own business under the name MAWAR Marek Wiechno. Since 2000, he has been a member of the Management Board and shareholder of DEM Sp. z o.o. Since 2010, he has been a member of the Management Board and shareholder of POL T and T Sp. z o.o. Since 2014, he has been a member of the Supervisory Board of VIGO Photonics S.A. and a member of the Foundation Council of the POLONIA INVICTA Foundation.

Marek Wiechno has submitted a declaration that he does not participate in a company competing with the Issuer as a partner in a civil law partnership, a partnership, or as a member of a governing body of a capital company, nor does he participate in another competitive legal entity as a member of its governing body. Furthermore, according to the declaration, Marek Wiechno is not entered in the Register of Insolvent Debtors maintained pursuant to the Act of August 20, 1997, on the National Court Register (Journal of Laws of 2021, item 112, consolidated text).

 

Małgorzata Starczewska-Krzysztoszek

Member of the Supervisory Board

An economist (PhD in Economics), she teaches business and banking (primarily finance and strategy). She is also an analyst specializing in economic processes and regulations and their impact on business processes. She is an experienced Chief Economist, responsible for the economic analysis of draft laws and regulations within an employer organization, among other things, collaborating with the Sejm, Senate, and government administration institutions, and conducting macro- and microeconomic analyses.

 

Waldemar Maj

Member of the Supervisory Board

He holds a PhD in Physics and an MBA from Harvard University. A former Senior Investment Officer in the Oil, Gas, and Mining Department at the International Finance Corporation (a World Bank group) in Washington, D.C., he focused on investing in gold, silver, copper, and coal mines in emerging markets. He served as Vice President of the Management Board for Finance at PKN Orlen SA, President of the Management Board at Amer Bank/DZ Bank, and Vice President of the Management Board at BGŻ Bank. He managed mining startups for a Canadian investor in Poland. He worked as a Senior Associate at McKinsey & Company in Warsaw. He was a former chairman of the supervisory boards of Bank Gdański and PZU, and a former member of the supervisory boards of companies such as the Warsaw Stock Exchange (GPW), Ciech, Bank BGŻ, TFI Origin, TMS Brokers, Stock Spirits, and Ergis.

Zbigniew Więcław

Member of the Supervisory Board

In 1997, he earned a master's degree from the Faculty of Management at the University of Warsaw, and then in 2010 completed his MBA at the University of Illinois. He began his professional career from 1997 to 1999 at Westdeutsche Landesbank Polska S.A. as a Risk Manager. Then, from 2000 to 2003, he was the Financial Controller of Transaction Banking and the Treasury Department at Citibank S.A. For over a decade, he has continued his career at Bank Handlowy S.A.: Director of the Transaction Banking Strategy and Planning Office (2003–2009), Chief Financial Officer of Transaction Banking for Citigroup's Central and Eastern Europe Region (2010–2013), and Director of the Liquidity Management and Business Analysis Department in the Corporate Banking Sector (2013–present). Since 2014, he has served on the Supervisory Board of VIGO Photonics S.A.
